By using Microbid.com (soon to be microbid.com) you agree that we reserve the right to fix (ie. make correct) features, calculations, correct bids, totals, entries and other metrics related to Auctions and adjust or correct Auction Winning Bidders and Auction Consolation Bidders, Rewards Winners, Rewards, Prize Winners and Prizes. Microbid cannot and does NOT guarantee that all actual Auction Items and Services won will be delivered due to the nature that most Auctions are provided by 3rd party Sellers. Microbid does not guarantee that the displayed winning bidders and consolation winners are the correct winners, but we will be working diligently during this BETA phase to make those determinations extremely reliable. You agree that we may review and reconcile all related metrics, bids, balances and loyalty stars associated with Auctions.

If you are signing up as part of a promotion, you agree that you must choose the correct Account Type on the Sign Up page at microbid.com/auth/register and you also agree that will provide us with a legal name and possibly location if the promotion you are signing up for has an Equity related part to it.

Agreement between user and Microbid (operating online at https://microbid.com also referred to herein as Microbid, Microbid.com, microbid, microbid.com, the Site, Microbid (or the “site”). Welcome to the Microbid Terms. This website (the "Site") is comprised of various web pages, services and solutions operated by Microbid ("microbid.com"). The service is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of Microbid and any of its products, services and/or solutions constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.

Electronic Communications 

Visiting Microbid or sending emails to Microbid constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

Your User (Member) Account 

If you use this site at microbid.com, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, mobile phone and any other devices with internet and/or cellular access that may be able to access the microbid.com website, and you agree to accept responsibility for all activities that occur under your account and/or password. You may not assign or otherwise transfer your account, balance, bids, credits, rewards, won Auction Items, Good and/or Services or any other Member Account based features to any other person or entity. You acknowledge that Microbid is not responsible for third party access to your account that results from theft or misappropriation of your account. Microbid and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

Microbid does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use Microbid only with permission of a parent or guardian.

Cancellation/Refund Policy 

You may cancel your account and membership at any time by clicking the "Delete" button at the bottom of your Edit Profile page or by emailing Microbid at contact@microbid.com. Any products, services, subscriptions, bids, credits or solutions purchased on Microbid are subject to availability and because of the highly dependent nature of such solutions on other third party companies, which Microbid does not control you agree to not hold Microbid liable if such solutions shall become broken, unusable or unavailable due to sudden updates or changes by such third parties. The services and solutions are provided on an ongoing, as-is basis and are subject to change at any time based on these third party factors. 

All Sales and Payments are final and non-refundable once a Vote or Auction Bid has been made.

The Linked Sites are not under the control of Microbid and Microbid is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Microbid is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Microbid of the site or any association with its operators.

Certain services made available via Microbid are delivered by third party sites and organizations. By using any product, service or functionality originating from the Microbid domain, you hereby acknowledge and consent that Microbid may share such information and data with any third party with whom Microbid has a contractual relationship to provide the requested product, service or functionality on behalf of Microbid users and customers.

No unlawful or prohibited use/Intellectual Property 

You are granted a non-exclusive, non-transferable, revocable license to access and use Microbid strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to Microbid that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of Microbid or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. Microbid content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of Microbid and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Microbid or our licensors except as expressly authorized by these Terms.

Crowd Auctions

Microbid features crowd-powered, bid-based Auctions, in which Sellers may sell a product/item, good, service, membership or other offerings deemed legal in applicable states and regions according to their local applicable laws. Users/Members may bid in .001 increments on Auctions and once a bid reaches and equals the minimum Reserve Price of a particular Auction it may be won. Upon reaching the Reserve, an Auction instantly enters the Last Chance phase, which allows all Bidders to submit their best and final bid. This is constructed to minimize over-bidding that may otherwise ensue once an Auction reaches its reserve. Note: There is also a maximum cap on Last Chance Bids, which is based on a percentage and applied across all Auctions.

The Bidder with the highest Total Bid at the Auction's end will be deemed the Auction Winner and have the opportunity to purchase the Auction Item (or Service) for the reserve price. Microbid will cover and pay the remaining amount up to 99% of the Buy Now price. 

For most Auctions, an additional Bidder may be selected to receive a Consolation Reward Offer, which is typically, but no always, identical to the main Auction Item (or Service) itself. The Consolation Bidder will be required to pay a price equal to the reserve price to receive the Auction Item (or Service) and this offer is totally optional. If the Consolation Bidder chooses not to accept the Consolation Reward Offer, then Microbid's system will select a subsequent Bidder from the same Auction to receive the Consolation Reward Offer.

Auction Referrals + Bonuses

If a member/user refers another member/user who wins an Auction, then that referring members shall receive a bonus equal to 3% of the Buy Now price of the Auction.

How Auctions Work

All Auctions are required to have a Buy Now Price, which is the total value (and price) the Seller (or Provider) wishes to receive if the Auction is won.

The system automatically then sets a Reserve Price, which is the minimum Bid that is required for the Auction Seller to be able to receive their full "asking" or Buy Now Price. The Winner of the Auction will be required to pay the reserve to receive the Auction Item (or Service) and Microbid shall pay the remainder of the Buy Now price up to 99%.

Bids start at $0.001 and each additional Bid is placed at $0.001 increments. Members pay to place digital Bids on Auctions - see the Load page for current prices.

Winning an Auction is based on the highest bid at the time of the Auction's End and in some cases Auctions may be extended for up to 59 seconds after their Expiration/End by subsquent bids - each of which extends the Auction Ending Time by 59 seconds. If no additional bids are placed during a 59 second extension then the current top bid becomes the winner of the Auction. Alternatively, Auctions may have a Last Chance phase, in which Bidders are required to submit their best and final bid offer to win the Auction - an option that helps prevent and minimize unnecessary over-bidding. The time period of 59 seconds may be slightly more or slightly less in various user sesssions based on the unpredictability of device time and other technologically related factors. In most cases, the Microbid system starts at the 00 minute mark of the next minute after an Auction reaches its reserve to begin the 59 second Last Chance Bids Phase.

Auction Loyalty Discounts

Some Sellers may opt to offer discounts and other perks to Bidders who accumulate a specified amount of Bids specifically on their Auctions. Once a Loyalty Offer is posted it may not be removed or changed without the permission of Microbid.

Auction Loyalty 

Members earn Gold (or Platinum) Loyalty Stars for every Bid placed, which may be used to redeem Rewards from the Microbid Rewards Store. In addition, there may be a limited amount of Platinum and/or SuperNova Stars each day, which are worth hundreds to thousands of regular Loyalty Stars.

Payouts for Auctions, Affiliates, Referrals, Promotions, Consolation Prizes, Rewards, etc.

You agree to provide Microbid with a fully completed W9 if you are US based and your total amount of funds or items received from Microbid amounted to a total of $600 or more. You also agree to provide us with a legal, real name during the fulfillment process if you are a winner or rewards recipient or Affiliate/Referral due a commission payout. 

Funding for Most-Voted, Successful Ideas/Campaigns

Microbid may also feature a vote-based engine, which allows registered Microbid members to vote-up Ideas/Campaigns that they'd like to see Microbid "fund" (provide funding to get the idea built) or create (Microbid builds the idea themselves, internally). To "fund" or funding refers to providing the necessary funds to create, develop, source or procure the necessary Developer, Developers, Dev Company or Service Providers qualified to complete the underlying project (for the posted Idea/Campaign).

Microbid's algorithm selects the most voted on campaigns in conjunction with a series of criteria determined by Microbid as the recipients of Microbid's Crowd Engine funding.

Posters who are selected for funding may suggest Providers to Microbid, but you agree Microbid reserves the right to vet and interview all suggested Providers to verify credentials, experience and qualifications. You also agree that Microbid holds the final say in the decision of which Provider(s) to hire to complete your idea/Project. 

You agree that any funds disbursed to you will be used for executing the originally posted Idea and nothing more, unless expressly discussed with all Co-Funders and Microbid prior. 

You agree to not ever request to access or see Microbid's Crowd Engine selection algorithm and that you agree to accept the results of every Idea Selection without question. 

You agree to never knowingly take actions that send fraudulent, fake or manufactured "traffic", bots or clicks to microbid.com or the Microbid Mobile Apps on the App Store and Google Play. You also agree to not engage in group-oriented organization around generating "real" traffic and votes.

Ownership Equity and Shares 

Any mention of "shares" does not refer to a security or stock, but a Membership Interest or Unit in a privately held, legally formed Limited Partnership (ie. LP) named Microbid, LP. Shares are given complimentary and any amounts paid or efforts where shares were given would be deemed Member Contributions for tax purposes involving capital gains, etc. You, the user, acknowledge and agree that this Agreement and the rights granted herein do not constitute a security under the U.S. Securities Act of 1933 or any applicable securities laws. Any transaction involving complimentary "shares" shall not be subject to securities registration or regulatory compliance requirements.

Microbid gives each Member/User the option of receiving Reserved Membership Units instead of actual Membership Units also, which means the Membership Units aren't technically owned by you and your property yet - thus helping with taxable treatment of said "shares". However, Microbid does guarantee that when you are ready to take ownership of your Membership Units they will be promptly transferred to you with an Equity Certificate.

RevShare Payout + Software Monetization 

You agree that Microbid may correct displayed amounts, percentages, numbers and information based around Revenue Sharing (ie. RevShare) Payouts and percentages if they are found to be incorrect according to Microbid's publicly shared and provided totals. 

RevShares (short for Revenue Shares) is a percentage of overall Monthly Membership Subscription Revenue. This revenue is generated from the All-Access Software Subscription Membership to Microbid's Software + Solutions Catalog.

The RevShare Program is based on the sales of Auction Bids, Microbid+ Membership Upgrades and Advertising Revenue. RevShares are not fully guaranteed as Microbid relies on 3rd party payment systems that process the payments made to Microbid, which constitutes the Revenue.

RevShare Cash-Outs or Buy-Backs. Some Members may have Sell-Back, Buy-Back or Cash-out Privileges, which means they can surrender an amount of their RevShares to be re-purchased by Microbid. Once re-purchased this means the allotted amount of RevShares are no longer yours. Any remaining RevShares you may still have and be entitled to will not be affected.

Rewards Payouts + Redemptions  

Microbid reserves the right to reconcile and verify bids, bids placed and all metrics involved with winning an Auction to determine it's validity. Microbid also reserves the express right to adjust bids, total bids, reserve prices, place bid amounts, etc. in an attempt to make all Auction related metrics correct in relation to each other per Microbid's Auction rules, guidelines and posted metrics.

You agree to not hold Microbid liable for any delays related to reconciliation regarding won Auctions. In addition, you agree to not hold Microbid liable for any adjustments to any of the associated bid totals and/or amounts that may or may not invalidate you as an immediate Auction Winner. In any such cases or situations Microbid will alert all the Bidders and resume the Auction.

You agree to not unnaturally attempt to manipulate Loyalty Scores (ie. Gold or Supernova stars) or attempt to manipulate the Loyalty System or any of the associated metrics to win Auctions or get refunded bids or refunded final bids. Note: Once bids are made, they are final and non-refundable. In addition, Bids are non-transferrable.

Giveaways, Sweepstakes and Contests: Official Rules  

Users can promote a Contest (or Giveaway) hosted on the Website by providing Contest Terms or in accordance with the general Microbid Contest and Giveaways Terms set forth in these Terms and agree to pay the Contest Prize in accordance to our instructions provided on the Website. A User acknowledges and agrees that it is solely responsible for the operation and promotion of the Contest and warrants that it will comply with all applicable law in respect of the operation and promotion of the Contest. We have no liability for loss suffered by a User in connection with a Contest including but not limited to loss suffered (or penalties imposed) in connection with any contravention of law. Entrants may submit their entries in image, video, text or other format as specified on the Website for Contests or Giveaways hosted outside of Microbid's own, natively provided mechanisms. All entries must comply with the Contest Terms and must not infringe any Intellectual Property Rights. Any entry which infringes any Intellectual Property Rights will be an ineligible entry and subject to removal either by the User or us and subject to action as per our Copyright Infringement Policy. Users can promote either: (1) a regular prepaid Contest, under which a User may select one or more winning Entrant(s) and Users may request that the Contest Prize be released to them if a winner has not been chosen within 30 days of the Contest closing date; or (2) a guaranteed Contest, under which a User may select one or more winning Seller(s) and if no winner is selected, we will release the Contest Prize to Entrants of the guaranteed Contest and charge the appropriate fees and the User will have no rights to have the Contest Prize released to them or to use any entries that have been submitted. After 30 days of the Contest closing date, we reserve the right to distribute the Contest prize to the participating Sellers. Users can opt to use the "Contest Poll" feature to invite others to vote on the contest submissions to assist Users with making a decision. All invitees will be notified via email that the User has invited them to vote on the contest submissions, and will be instructed to create an account on Microbid.com in order to be able to view the poll results after submitting their votes. After awarding a Contest Prize, the User and winning Entrant(s) will enter into a Contest Handover and when the winning Entrant(s) has uploaded the winning entry (including all related files) to the User, the Contest Prize will be released to the winner of the Contest unless disputed by the User in which case the dispute must be resolved between the User and winning Entrant(s) before we can release the Contest Prize to the winning Entrant(s). For avoidance of doubt, the User has no right or licence to use any entries other than the winning entry/entries. The User may not: (1) promote a Contest via the Website if the User is hosting a similar Contest through another service; (2) allow or request Sellers to submit entries to the User via other means than the Website; and (3) award another Account that might be deemed as collusion or awarding another Account owned by the User.

Use of Communication Services 

The Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"), you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.

By way of example, and not as a limitation, you agree that when using a Communication Service, you will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded, restrict or inhibit any other user from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations.

Microbid has no obligation to monitor the Communication Services. However, Microbid reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Microbid reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Microbid reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Microbid's sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. Microbid does not control or endorse the content, messages or information found in any Communication Service and, therefore, Microbid specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized Microbid spokespersons, and their views do not necessarily reflect those of Microbid.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you upload the materials.

Materials provided to Microbid or posted on any Microbid web page Microbid does not claim ownership of the materials you provide to Microbid (including feedback and suggestions) or post, upload, input or submit to any Microbid Site or our associated services (collectively "Submissions"). However, by posting, uploading, inputting, providing or submitting your Submission you are granting Microbid, our affiliated companies and necessary sublicensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission.

No compensation will be paid with respect to the use of your Submission, as provided herein. Microbid is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in Microbid's sole discretion.

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

Third Party Accounts 

You may be able to connect your Microbid account to third party accounts, such as Google, Facebook, LinkedIn, etc . By connecting your Microbid account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.

International Users 

The Service is controlled, operated and administered by Microbid from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Microbid Content accessed through Microbid in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

Indemnification 

You agree to indemnify, defend and hold harmless Microbid, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Website, Mobile Apps or any of its services, including any Member, Seller or user postings made by you, or another User or your own violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Microbid reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Microbid in asserting any available defenses. You agree to indemnify Microbid against any Website malfunctions, errors, cyber hacking, technical errors or other unforseen acts and occurences that may affect your use or the service. You also agree to not ever engage in any class-action, multiple participant or collective actions with other Microbid Members against Microbid in the pursuit of damages, judgements and similar. You agree that Microbid presents an as-is service, which is mostly meant for Entertainment and Marketing of Seller Services, Products and Brands with the ability to receive Goods and/or Services at steep to massive discounts, as well as ocassional Rewards or Prizes.

Class Action Waiver 

You also agree that you will not engage in any class action lawsuits, group-oriented complaints (or actions) or claims against Microbid. Any arbitration under these Terms and Conditions will take place on an individual basis and in either the state of Delaware or Illinois; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Employer agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. Microbid AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

Microbid, LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, SOLUTIONS, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Microbid, LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF Microbid, LLC  OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Termination/Access Restriction 

Microbid reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Delaware and you hereby consent to the exclusive jurisdiction and venue of courts in Delaware in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Microbid as a result of this agreement or use of the Site. Microbid’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Microbid’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Microbid with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Microbid with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Microbid with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Changes to these Terms 

Microbid reserves the right, in its sole discretion, to change the Terms under which Microbid is offered. The most current version of the Terms will supersede all previous versions. Microbid encourages you to periodically review the Terms to stay informed of our updates.
